These terms govern your use of Restock, a B2B ordering, credit, and payments-tracking platform for Indian distributors and retailers. Last updated: June 2, 2026.
1. Acceptance
By creating an account or using Restock you agree to these Terms & Conditions and to the Privacy Policy. Restock is a business-to-business platform; you must use it on behalf of a registered business or sole proprietorship and not as a consumer. If you do not agree to these terms, do not use Restock.
2. Eligibility
You must be at least 18 and authorised to enter into contracts on behalf of the business you represent. Dealers must hold the registrations (including GSTIN where applicable) required to operate as a distributor or wholesaler in India. Retailers must operate a legitimate shop or business establishment.
3. Account and authentication
Accounts are linked to your mobile number and are protected by OTP login and, optionally, biometric re-login on your device. You are responsible for keeping your phone, OTPs, and biometric access secure, and for all activity under your account. Notify support immediately if you suspect unauthorised access.
4. What Restock is and is not
Restock is a software platform that helps dealers showcase their catalog and helps retailers place orders, track payments, and manage credit. Restock is not a party to the sale of goods. We do not own the goods, do not warehouse or deliver them, and do not act as a payment gateway or lender. Each order is a direct commercial transaction between the dealer and the retailer.
5. Catalog, pricing, and stock
Dealers are solely responsible for the accuracy of their catalog: product details, pack sizes, MRP, selling price, taxes, stock, and images. Prices and stock can change at any time. Restock does not guarantee the accuracy of dealer-uploaded content.
6. Orders, acceptance, and cancellation
A retailer order is an offer to buy at the prices and quantities shown when placed. It becomes binding only when the dealer accepts it in the app. Cancellations, partial fulfilments, returns, and credit notes follow the dealer's own policies and the workflows provided in the app.
7. Credit, payment terms, and repayment rating
Credit limits, periods, and due dates are set by each dealer for each retailer they choose to extend credit to. Credit on Restock is a commercial arrangement between the dealer and the retailer. Restock does not lend money, does not guarantee repayment, and is not a financial institution. Repayment ratings are derived from verified in-platform payment behaviour and are an informational signal, not a credit bureau score.
8. Payments
Payments are made directly between retailer and dealer via UPI, bank transfer, cash, or any other mode they agree on. Restock records the payment, mode, reference, and uploaded proof for reconciliation. We do not hold customer funds. Disputes about whether a payment was actually received are between the dealer and retailer; the dealer's confirmation on Restock is the source of truth for repayment status.
9. Invoices and Tally
Dealers continue to raise GST invoices in their own accounting software (typically Tally). Restock lets dealers attach the invoice PDF or reference to an order for shared visibility. Restock is not the system of record for GST invoices and does not generate tax documents. Each party remains responsible for its own GST compliance.
10. Acceptable use
You agree not to list counterfeit, prohibited, or illegal goods; misrepresent prices, stock, or your business; place fake orders; harass or threaten other users; reverse-engineer or scrape the platform; upload malware or unlawful content; or attempt to bypass credit, blocked-retailer, or rating controls. Violations may result in suspension or termination.
11. Blocking and de-platforming
Dealers may block specific retailers from ordering from them. Restock may, at its sole discretion, suspend or terminate accounts that violate these terms, are subject to repeated complaints, post fraudulent payment proofs, or otherwise endanger other users.
12. Content and licence
You retain ownership of content you upload. By uploading, you grant Restock a non-exclusive, royalty-free licence to store, display, and transmit that content to its intended audience and to keep operational backups, for as long as needed to provide the service.
13. Intellectual property
The Restock app, website, brand, and software are owned by Restock and protected by Indian and international IP laws. You receive a limited, revocable, non-transferable licence to use Restock for its intended business purpose.
14. Disclaimers
Restock is provided on an "as is" and "as available" basis. We do not warrant uninterrupted, error-free, or always-available service. We make no representations about the quality, safety, legality, or merchantability of goods listed by dealers, or about the creditworthiness of any retailer. You use Restock at your own commercial risk.
15. Limitation of liability
To the maximum extent permitted by law, Restock is not liable for any indirect, incidental, special, or consequential damages, lost profits, missed orders, unpaid dues, defaulted credit, or business interruption arising from use of the platform. Our total aggregate liability shall not exceed the platform fees, if any, paid to Restock in the three months preceding the claim.
16. Indemnity
You agree to indemnify and hold Restock harmless from claims, damages, fines, or expenses (including reasonable legal fees) arising from your breach of these terms, your business activities on the platform, the goods you sell or buy, the credit you extend or take, or your violation of any law or third-party right.
17. Termination
You may stop using Restock at any time and request account deletion from support. Restock may suspend or terminate your account if you breach these terms or if continued access would harm other users or the platform. Sections that by their nature should survive termination will continue to apply.
18. Changes to these terms
We may update these terms as Restock evolves. Material changes will be communicated in the app or via a prominent notice before they take effect. Continuing to use Restock after an update means you accept the revised terms.
19. Governing law and jurisdiction
These terms are governed by the laws of India. Subject to applicable law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or in connection with Restock, without prejudice to any statutory consumer rights or mandatory grievance redressal mechanisms.
